Voyager Digital has announced the selection of US exchange BAM Trading Services Inc. (Binance.US) as its acquirer. Binance.US bid $1.022 billion, including the fair value of Voyager's cryptocurrency portfolio, estimated at $1.002 billion at current market prices and additional consideration equal to an incremental value of $20 million. In addition, Voyager's claims on Three Arrows Capital will be distributed to creditors in the future. Binance.US will post a $10 million deposit and will reimburse Voyager for up to $15 million in fees, with a one-month extension if the transaction cannot be completed by April 18, 2023. The Binance.US acquisition agreement allows Voyager to take immediate action to return funds to customers. Voyager Digital LLC will seek bankruptcy court approval to execute the asset purchase agreement between Voyager Digital LLC and Binance.US at a hearing on January 5, 2023. The Binance.US acquisition will be completed pursuant to a bankruptcy plan subject to a creditor vote and other customary closing conditions. Binance.US will complete the transaction as soon as the bankruptcy court approves the bankruptcy plan.
